Fees and Pricing

This User Pricing Information Document provides a comprehensive overview of the fees and transaction details associated with the services offered by WEB3 Technology B.V. ("WEB3"). It outlines the pricing structure applicable to the purchase and sale of crypto-assets and applicable limits, ensuring transparency and clarity for Users engaging with WEB3 Services. The fees are set out per service (OTC Desk and Widget on-ramp).

Unless expressly stated otherwise, the fees presented in this document are indicative. The exact exchange rate, fees, charges and transaction details applicable to a specific transaction will be presented to the User for review and acceptance before the Order/Quote is confirmed.

Depending on the relevant service and transaction type, the total transaction cost may consist of one or more of the following components:

• Service Fee;
• Payment Method Fee (where applicable);
• Fixed Fee (where applicable);
• Third-Party Charges (where applicable).

Not all fee components apply to every transaction.

The final fee and pricing applicable to a Transaction may vary depending on factors including:

• Transaction size;
• selected crypto-asset;
• selected Fiat Currency;
• payment method;
• prevailing market conditions;
• liquidity requirements;
• settlement arrangements;
• blockchain network conditions.

All applicable fees, charges and the exchange rate (where relevant) will be disclosed to the User before the User confirms the transaction.

Purchase and Sale of Crypto-Assets

WEB3 enables Users to purchase and sell crypto-assets through the OTC Desk service. The total cost of a transaction may consist of one or more of the following components:

• Service Fee;
• Payment Method Fee (where applicable);
• Third-Party Charges (where applicable).

The applicable fees depend on the specific transaction and may vary based on factors including transaction size, selected crypto-asset, settlement method, market conditions and liquidity requirements.

Prior to execution of a Transaction, WEB3 will provide the User with a Quote specifying:

• the amount and type of assets to be delivered by the User;
• the amount and type of assets to be received by the User;
• the applicable exchange rate;
• the applicable fees and charges; and
• the validity period of the Quote.

Unless otherwise agreed, OTC Desk transactions are settled via bank transfer.

OTC Desk – Purchase of Crypto-Assets

The following WEB3 Service Fees apply exclusively to purchases of crypto-assets executed through the OTC Desk service.

Supported Fiat Currencies: EUR, USD, PLN

* For Transactions executed in USD or PLN, WEB3 will determine the applicable tier using the EUR equivalent of the transaction value.

The exact WEB3 Service Fee applicable to a transaction will be displayed to the User prior to transaction confirmation and may vary depending on transaction size, selected crypto-asset, market conditions and other relevant factors.

OTC Desk – Sale of Crypto-Assets

The following WEB3 Service Fees apply exclusively to sales of crypto-assets executed through the OTC Desk service.

Supported Fiat Currencies: EUR, USD, PLN

The exact WEB3 Service Fee applicable to a transaction will be displayed to the User prior to transaction confirmation and may vary depending on transaction size, selected crypto-asset, market conditions and other relevant factors.

OTC Desk – Transaction Limits

The following Transaction limits apply to purchases and sales of crypto-assets executed through the OTC Desk service. WEB3 may apply different transaction limits in individual cases, subject to operational, liquidity, risk management and regulatory considerations.

* For transactions executed in USD or PLN, WEB3 will determine the applicable tier using the EUR equivalent of the transaction value.

Widget On-Ramp

The WEB3 Widget On-Ramp enables Users to purchase crypto-assets using supported payment methods.

The total cost of a Transaction may consist of one or more of the following components:

• Service Fee;
• Payment Method Fee;
• Fixed Fee (where applicable);
• Third-Party Charges (where applicable).

The applicable fees depend on the selected payment method, transaction size, selected crypto-asset, Fiat Currency, market conditions and other relevant factors.

Prior to confirming a Transaction, the User will be presented with:

• the amount to be paid;
• the crypto-asset to be received;
• the applicable exchange rate;
• the Service Fee;
• the Payment Method Fee;
• any other applicable fees or charges; and
• the total transaction value.

The Widget On-Ramp supports selected payment methods made available by WEB3 from time to time. The availability of payment methods may vary depending on the User's jurisdiction, Fiat Currency and other operational considerations.

The list of supported payment methods, crypto-assets and Fiat Currencies is subject to periodic updates.

For the avoidance of doubt, Payment Method Fees are charged separately from the WEB3 Service Fee and are displayed to the User as a separate fee component prior to transaction confirmation.

Widget On-Ramp – WEB3 Service Fee

The following WEB3 Service Fee applies to purchases of crypto-assets executed through the Widget On-Ramp service:

The exact WEB3 Service Fee applicable to a transaction will be displayed to the User prior to transaction confirmation and may vary depending on transaction size, selected crypto-asset, market conditions and other relevant factors.

Widget On-Ramp – Payment Method Fees

In addition to the WEB3 Service Fee, a Payment Method Fee may apply depending on the payment method selected by the User.

**The Payment Method Fee consists of fees and costs associated with the processing of a particular payment method. The applicable fee may vary depending on the selected payment method, transaction value, jurisdiction, currency, risk profile and the costs charged to WEB3 by payment service providers and other third-party payment processors. The exact Payment Method Fee applicable to a Transaction, including any fixed fee component, will be disclosed to the User prior to transaction confirmation.

Widget On-Ramp – Transaction Limits

The following minimum and maximum transaction amounts apply to purchases of crypto-assets through the Widget On-Ramp service.

WEB3 may amend the transaction limits from time to time for operational, risk management, compliance or commercial reasons.

Fee Calculation Example (this example is provided for illustrative purposes only and does not represent the fee applicable to every transaction).

Methodology for Determining the Price of Crypto-Assets

WEB3 obtains pricing and liquidity from approved liquidity providers and liquidity venues. The relevant pricing source is selected based on the crypto-asset, currency pair and available liquidity. WEB3 does not independently set market prices for crypto-assets. The exchange rates presented to Customers are derived from external market data and pricing obtained from the relevant liquidity source.

Pricing Sources for Crypto-Assets

The following primary pricing sources are currently used:

WEB3 may amend, replace or supplement the pricing sources used from time to time based on liquidity availability, execution quality, operational requirements, regulatory requirements and market conditions. Such changes will not affect a Transaction once a quote has been accepted by the Customer.

Fiat Currency Exchange Rates

Where a Transaction involves fiat currency conversion, foreign exchange rates are sourced from approved foreign exchange providers, including eKantor and other available liquidity sources.

Price Formation

The exchange rate presented to the Customer is derived from the relevant pricing source identified above.

WEB3 Service Fees, Payment Method Fees and any other applicable charges are disclosed separately in accordance with this Customer Pricing Information Document. Where applicable, such fees and charges are deducted from the Customer's payment amount before the purchase of crypto-assets is executed.

The amount remaining after deduction of applicable fees and charges is converted into the selected crypto-asset using the applicable market exchange rate sourced from WEB3's liquidity providers.

Prior to the execution of a Transaction, WEB3 displays:

• the amount paid by the Customer;
• the applicable exchange rate;
• the applicable fees and charges; and
• the amount of crypto-assets to be received by the Customer.

This enables the Customer to review the Transaction terms, including the exchange rate, applicable fees and the final amount of crypto-assets to be received, before accepting and executing the Transaction.
